1. AGREEMENT TO TERMS
These Terms of Service govern your access to and use of the services, web platforms, and applications provided by Blue Jubilee Ltd ("Studio Blue", "we", "us", or "our"), located at 698 Domenico Gitto Street, Mabushi, Abuja.
By engaging our engineering studio for software development or using our digital platforms, you agree to be bound by these Terms.
2. ENGINEERING SERVICES & SCOPE
Studio Blue operates as a full-stack digital product studio delivering custom software engineering, mobile application development, enterprise web architecture, and technical consulting.
- Statement of Work (SOW): Specific deliverables, project roadmaps, milestones, and payment schedules are governed by executed SOW agreements.
- Intellectual Property: Upon full payment of contractual fees, all custom software deliverables engineered specifically for client engagements transfer to the client as specified in the master service agreement.
- Proprietary Technologies: Studio Blue retains sole ownership of pre-existing frameworks, developer tooling, and in-house incubated IP.
3. ACCEPATBLE USE & CLIENT OBLIGATIONS
Clients and platform users agree not to misappropriate source code, reverse-engineer proprietary frameworks, or utilize Studio Blue systems for unlawful activities, distributed denial-of-service attacks, or unauthorized access attempts.
4. LIMITATION OF LIABILITY
To the maximum extent permitted by law, Blue Jubilee Ltd shall not be liable for indirect, incidental, or consequential damages resulting from platform downtime, third-party API disruptions, or unauthorized external data breaches beyond reasonable technical control.
5. GOVERNING LAW & JURISDICTION
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any legal proceedings shall be submitted to the exclusive jurisdiction of the courts located in Abuja, Nigeria.
